Both Creative Carts and the buyer agree to be bound to the terms and conditions stated herein. Creative Carts and its servicing dealer have made every reasonable effort to identify any sales, excise or other taxes or fees assessed by any governmental taxing authority which are applicable to the goods identified in this contract and have reflected those taxes as a charge to the buyer hereunder. Payment of any such taxes shall remain the sole responsibility of the buyer whether such taxes or other fees are reflected herein or have been omitted. Creative Carts reserves the right to make design changes in any of its Custom Carts which are manufactured subsequent to this sale and such design changes or technological improvements may be made with buyer having no claim against Creative Carts with respect to such changes or improvements. Buyer states and warrants that he is acquiring a Custom Cart for his own personal purposes. Buyer will not use or convey to others any part of parts of the purchased item for the purpose of making or allowing others to make molds to be used in the production of other carts. Buyer shall indemnify and hold Creative Carts harmless from each and every claim for loss or damage arising out of the acts or omissions or the failure of the buyer or any of buyer Buyer acknowledges that the Custom Cart or Carts being purchased hereunder are manufactured for off road use only and that buyer has been informed by Creative Carts that the Custom Cart does not conform to federal motor vehicle safety standards or EPA regulations and are not equipped for operation on highways, streets or roads. Buyer has been informed that Creative Carts will manufacture the ordered Custom Cart (s) according to the unique terms specified on the face of this contract. Buyer’s failure to accept delivery with thirty (30) days following notification to buyer by Creative Carts that the cart (s) is ready for delivery shall give rise to a right in Creative Carts to dispose of or resell such cart) s) in any commercially reasonable manner which Creative Carts may deem appropriate utilizing each and every right and remedy existing under the Uniform Commercial Code as has been adopted in the State of Florida to recover its contractual and incidental damages suffered as a result of the buyer’s repudiation or breach. Buyer grants to Creative Carts the right to retain any deposits paid by buyer through this Agreement as security for payment of the damages incurred by Creative Carts or, in the sole and unfettered discretion of Creative Carts to retain the buyer’s deposits as and for liquidated damages to the extent permitted by law. Delivery of the ordered Custom Cart shall be to buyer at the location of the servicing dealer. Buyer acknowledges that the cost of shipping the Custom Cart (s) to the dealer remains the sole obligation of the buyer, as is the cost of transporting the Custom Cart (s) to buyer’s residence or other intended ultimate destination. The cost of such further shipment and responsibility for evvectuating such shipment shall be accomplished by the buyer at the buyer’s sole cost. Acceptance by buyer of a Custom Cart (s) from a dealer shall not be made without buyer’s inspection of the Custom Cart (s) for damage and waiver of any claim for damages existing prior to acceptance. Delivery of a Custom Cart (s) shall not be made until full payment has been received by Creative Carts and, in any event, title to the delivered cart (s) shall remain with Creative Carts until full payment has been received.
